LEGAL AGREEMENT • EVOKE LIFESTYLE EXPERIENCE S.A.P.I. DE C.V.

Terms and Conditions

Applicable to all luxury villa bookings, private yacht charters, aviation coordination, and bespoke lifestyle services provided by Evoke.

RESERVATIONS, DEPOSITS AND PAYMENTS

Reservations may require a valid credit or debit card as a guarantee. Any deposit or payment will be charged according to the payment schedule disclosed in the applicable quote, invoice or written confirmation.

Accommodations: Unless the applicable quote states otherwise, final payment for accommodation reservations is due 45 days before arrival. For holiday periods, final payment is due 90 days before arrival. Privately owned villas and select condominium reservations may require a refundable security deposit and/or an accidental damage waiver (“ADW”), as stated in the applicable booking documents.

Yacht charters: Unless the written quote or confirmation states otherwise, a 50% deposit of the quoted charter price is required to secure the reservation. The remaining balance is due upon boarding. Certain Operators, dates, destinations or services may require different payment terms; the schedule stated in the written confirmation will apply.

A reservation is confirmed once the required payment has been received, the supplier has accepted the booking and written confirmation has been issued. Availability and pricing are subject to change until confirmation.

RATES AND SERVICES

Accommodation rates are based on season, property or room type, and number of guests. Unless stated otherwise, accommodation rates are per night and may not include taxes, hotel service charges or other fees. Occupancy is limited to the number of guests stated in the reservation.

For yacht charters, the quoted price is for the rental of the entire yacht for the specified charter period, unless the written quote states otherwise. It is not a per-person price. The quote and booking confirmation will identify the yacht, date, duration, departure location, authorized passenger capacity, price and services included.

Prices do not include costs or services that are not specifically identified as included. Depending on the reservation, these may include gratuities, taxes, dock or port fees, fuel surcharges, meals, beverages, transportation, water toys, chef services, parking, resort or HOA fees, cleaning, overtime and personal expenses.

A dock tax of USD $10 per person may apply to a yacht charter when stated in the applicable quote or confirmation. Gratuities are not included in the yacht charter price. A gratuity of approximately 10% or more is customary and is at the client’s discretion, unless a mandatory service charge has been clearly disclosed before booking.

All prices are in U.S. dollars unless the quote or written confirmation states otherwise.

YACHT CHARTERS

Evoke’s role and independent Operators

Evoke Lifestyle Experience (“Evoke”) acts as an intermediary in arranging yacht charter reservations. The yacht and the services of the owner, charter company, Operator, captain and crew are provided by independent suppliers. Unless expressly stated in writing, Evoke does not own, operate, navigate or control the yacht.

The Operator is responsible for the yacht’s operation and for complying with the requirements applicable to its service. Nothing in these Terms excludes any duty or liability that may legally apply to Evoke or the Operator.

Passenger count and capacity

The client must provide the correct number of passengers, including minors and infants, before the reservation is confirmed. The authorized capacity may not be exceeded. The Operator or captain may refuse boarding or suspend departure if the passenger count exceeds the permitted capacity or if boarding would create a safety concern.

The client must notify Evoke and the Operator in advance of relevant medical conditions, mobility needs, allergies or other circumstances that may affect the trip or a passenger’s safety.

Captain’s authority and safety

The captain is responsible for navigation and operational decisions onboard. Passengers must follow the captain’s and crew’s safety instructions, use required safety equipment and refrain from interfering with the yacht’s operation.

The captain may modify the route, restrict an activity, delay departure, return to port or cancel navigation for safety reasons, due to weather or sea conditions, mechanical issues, or instructions from the relevant maritime or port authority.

Weather and port closures

Navigation depends on weather, sea conditions, port status and other operational factors. Rain alone does not necessarily mean that a port is closed or that navigation is unsafe. The captain and relevant authorities determine whether departure or a particular activity may proceed safely.

If a port is closed or the captain determines it is unsafe to depart, the charter may be postponed, rescheduled, modified or cancelled. The weather and port-closure policy stated in the written quote or confirmation will apply. If none is stated, Evoke will assist the client in communicating with the Operator about available options, which may include rescheduling, an alternative yacht or a refund of amounts recoverable under the Operator’s policy and applicable law.

Changes, cancellations and late arrival

Cancellation and change requests must be submitted in writing. The policy stated in the yacht quote, confirmation or Operator’s charter agreement applies to that booking. Operator charges may apply in addition to any applicable Evoke fee.

If the booking documents do not state a different yacht-specific policy, the Site’s general policy for services and activities applies: a USD $50 per-reservation fee may apply to a change or cancellation after the reservation is under deposit, and reservations cancelled 14 days or less before arrival may be non-refundable. Additional supplier charges may apply as disclosed in the booking terms.

Late arrival may shorten the charter. Missed departure, failure to board on time, or inability to board because the client or passengers did not meet requirements communicated before the trip may be treated under the applicable cancellation or no-show policy. Overtime is subject to the captain’s approval, availability and additional charges.

Onboard conduct and activities

The client is responsible for informing all passengers of the Operator’s rules and the captain’s instructions. Passengers may not use the yacht or water toys in an unauthorized manner, engage in unlawful activity, interfere with the crew, throw waste or other objects into the water, or bring prohibited or dangerous items onboard.

The captain may restrict an activity or require a passenger to stop conduct that creates a safety risk, interferes with yacht operations or violates applicable law. The client may be charged for loss or damage caused by a passenger, subject to the applicable booking agreement and law.

Minors and personal belongings

Minors must be supervised at all times by their parent, legal guardian or responsible adult. Passengers must follow the captain’s instructions regarding life jackets, swimming, water toys and restricted areas.

Passengers are responsible for their personal belongings, except to the extent responsibility for loss or damage is imposed by applicable law or is attributable to the responsible party.

Insurance and incidents

The Operator is responsible for maintaining insurance required for the yacht’s operation and under applicable law. The existence of insurance does not mean that every loss, injury or circumstance is covered. Coverage, limits, exclusions and claims procedures are determined by the applicable policy and insurer. Documentation supplied by the Operator may be made available upon request.

In the event of an accident, injury, damage or other incident, passengers must promptly notify the captain and Operator and, where appropriate, the relevant authorities. Evoke may assist with communication but does not replace the reporting procedures of the Operator, insurer or authorities. Clients may wish to obtain separate travel, medical or accident coverage.

SERVICES AND ACTIVITIES

Changes to services and activities must be requested in writing. Once a reservation is under deposit, a USD $50 per-reservation fee may apply to changes in travel arrangements, unless a different policy is stated in the booking confirmation.

Once a reservation is under deposit, a USD $50 per-reservation cancellation fee may apply. Reservations for services and activities cancelled 14 days or less before arrival may be non-refundable. Additional change or cancellation fees may be charged by the relevant supplier.

For yacht charters, the yacht-specific cancellation and weather policy in the written quote or confirmation takes precedence over this general services and activities policy.

REFUNDS

Unused portions of accommodations, services or activities are generally non-refundable unless the applicable booking terms or law provide otherwise. For yacht charters, unused time, including time lost because the client or passengers arrive late or choose to end the trip early, is non-refundable unless the written booking terms or applicable law provide otherwise.

Refund requests must be submitted in writing within 30 days of cancellation. Refund eligibility and timing are subject to the applicable supplier policy, booking terms and law. Holiday-period reservations may be subject to surcharges and cancellation fees of up to 100% of payments, as disclosed in the applicable booking terms.

FORCE MAJEURE AND OPERATIONAL INTERRUPTIONS

If a natural disaster, government restriction, port closure or other event outside the relevant party’s reasonable control prevents a booked service from taking place, the client’s options will be determined by the booking terms and applicable supplier policy. Where available, options may include rescheduling the accommodation or service for use within one year of the original travel date, subject to availability and any difference in current rates.

For yacht charters, port closures and safety-related decisions are governed by the yacht-specific terms above and the policy stated in the written confirmation.

RESPONSIBILITY AND ASSUMPTION OF RISK

Property owners and suppliers providing accommodations, yachts, transportation, activities, tours and other in-destination services are independent providers. The provider responsible for each service is identified in the applicable booking documents where available.

Travel and recreational activities, including sailing, swimming, snorkeling, fishing and use of water toys, involve inherent risks. Passengers must follow safety instructions, use required safety equipment and make reasonable decisions about their participation. This section does not waive rights or exclude liability that cannot legally be waived or excluded.

INFORMATION, LIABILITY AND DISPUTES

Evoke makes reasonable efforts to provide current information on the Site. Some descriptions, photographs, prices, amenities and service details are supplied by the relevant provider and may change. The written quote and confirmation govern the details of a confirmed reservation. If a price or service error is identified before confirmation, Evoke will notify the client of the corrected terms so the client can decide whether to proceed.

Disputes concerning reservations or services will be handled under the laws and by the competent authorities or courts applicable to the matter. Nothing in these Terms requires a consumer to waive protections that cannot legally be waived.
